Terms of Service


These Terms of Service (ā€œTermsā€œ) are between you, the ("Licenseeā€œ) and CompaniesLogo.com (ā€œCompaniesLogoā€œ), each a ā€œPartyā€œ and collectively the ā€œParties.ā€œ By using CompaniesLogoā€™s site, application programming interface (ā€œAPIā€œ), or services, you agree to these Terms which may be updated from time to time. If the licensee does not agree to these terms you must stop using CompaniesLogoā€™s site, API, and services.

Section 1. API Description

The Licensee desires to license CompaniesLogos API to permit Licensee to receive logo images from CompaniesLogos proprietary database so that Licensee can use those images for editorial purposes.

Section 2. API License

Subject to these Terms, CompaniesLogo grants Licensee a limited, non-exclusive, non-sublicensable, non-transferable, non-assignable license under CompaniesLogos rights during the Term of Licenseeā€˜s Plan to use CompaniesLogos APIs to develop, test, and support its applications, and to permit the Licensee to integrate CompaniesLogos APIs into its applications, which are accessible to Licenseeā€˜s end-users, and to display the logos received through CompaniesLogos APIs within the Licenseeā€™s application. Licensee has no right to distribute or allow access to the CompaniesLogo API to other third parties.

Section 3. Documentation

Licenseeā€™s use of the APIs and display of the logos must comply with the technical documentation, usage guidelines, call volume limits, and other documentation maintained at CompaniesLogoā€™s developer site. In the event of a conflict between the Developer Documentation and these Terms, these Terms control.

Section 4. Restrictions

The Licensee shall not use the APIs for any illegal, unauthorized or otherwise improper purposes, or in any manner that would violate these Terms or the Developer Documentation, or would breach any laws or regulations, or violate the rights of third parties. The Licensee shall not use the APIs in a manner that exceeds reasonable request volume, or is excessive as determined by CompaniesLogos in its sole and exclusive discretion.

Section 5. Copyrights

CompaniesLogo owns no direct copyrights on the provided companiesā€˜ logos and assumes no liability for the correctness of the logos.

Section 6. Payments

Licensee shall pay the fees associated with Licenseeā€™s Plan as displayed on the API pricing table. CompaniesLogo may disable API access upon a failure to timely pay Licenseeā€™s Plan fee. CompaniesLogo does not offer any refunds for any fees paid. Licensee may terminate its Plan at any time, however, no fees will be refunded. Licensee is responsible for timely terminating its subscription. In the event of a dispute Licensee shall not use chargeback against our CompaniesLogo without first reaching out to CompaniesLogo support and providing at least seven days for CompaniesLogo to respond.

Section 7. Support

Licensee agrees to report to CompaniesLogo any errors or difficulties discovered and the characteristic conditions and symptoms of such errors and difficulties.

Section 8. Warranty Disclaimer

The Parties acknowledge that the API and all services are provided ā€œas is.ā€ CompaniesLogo and its licensors disclaim all warranties relating to the API, express or implied, including, but not limited to, any warranties against infringement of third-party rights, merchantability, and fitness for a particular purpose.

Section 9. Limitation of Liability

Licensee shall hold CompaniesLogo and its licensors harmless from any liability related to the subject matter of these Terms or any additional terms and conditions related to any contract related hereto. Licensee shall further hold CompaniesLogo and its licensors harmless from liability for any negligence, strict liability or other theory for loss or inaccuracy of data or cost of procurement of substitute goods, services or technology, or for any indirect, incidental or consequential damages arising from the subject matter of these Terms or use of the API or any service offered by CompaniesLogo. Additionally, CompaniesLogo and its licensors are not responsible for any matter beyond its reasonable control.

Section 10. Termination

These Terms shall continue until terminated as set forth in this section or for the term set forth in an applicable contract for services entered into by the Parties. Either Party may terminate any agreement between the Parties at any time with or without cause. Any termination stemming from a violation of these Terms also terminates the all licenses granted hereunder.

Section 11. Limitation

A rate limiter that throttles the number of requests per second received by the API. Most APIs invocations permit up to 20 requests per second. Licensee agrees to treat these limitations as maximums and not to generate unnecessary load. If Licensee suddenly experiences an increasing number of rate limited requests, Licensee agrees to contact support. CompaniesLogo may reduce limits to prevent abuse, or increase limits to enable high-traffic applications. To request an increased rate limit, Licensee agrees to contact support. If Licensee requests a large increase, Licensee agrees to contact CompaniesLogos two weeks in advance of the time that Licensee needs the increased rate limit to be effective.

Section 12. Severability Clause

If any provision of these Terms is held or made invalid by a court decision, statute or rule, or shall be otherwise rendered invalid, the remainder of these Terms shall not be affected thereby.
